1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the websites, landing pages, AI chat tools, and related services operated by TopRealtor.Pro ("TopRealtor.Pro," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms apply to two types of users:

Visitors — individuals browsing a Site, submitting a lead form, or chatting with our AI assistant

Clients — real estate agents, teams, or brokerages who have purchased marketing/lead-generation services from TopRealtor.Pro (governed additionally by a separate signed Service Agreement, which controls in the event of a conflict with these Terms)

2. Description of Services

TopRealtor.Pro provides digital marketing and lead-generation services to real estate professionals, including but not limited to:

Design and management of Meta (Facebook/Instagram) and Google advertising campaigns

Branded landing pages and local market websites

An AI-powered chat assistant that answers real estate questions and helps qualify buyer, seller, and investor leads

Lead capture, nurture (including SMS and email follow-up), and delivery to Clients via GoHighLevel or the Client's own CRM

Monthly performance reporting

3. Eligibility

You must be at least 18 years old to use the Services or submit information through a Site. By using the Services, you represent that you meet this requirement.

4. Lead Information and Real Estate Referrals

When you submit information through a Site (including via a form or the AI chat assistant), you authorize TopRealtor.Pro to share that information with the real estate agent, team, or brokerage associated with that Site so they may contact you regarding your real estate inquiry. TopRealtor.Pro is a marketing technology provider — we are not a licensed real estate brokerage, and nothing on the Sites constitutes real estate brokerage services, legal advice, or a guarantee of any transaction outcome.

Home value estimates, market data, or investment analysis provided by the AI assistant or on a Site are informational and provided "as is." They are not formal appraisals and should not be relied upon as such. Any real estate transaction should be conducted through a licensed real estate professional.

5. Client Services and Fees

If you engage TopRealtor.Pro as a Client to purchase marketing or lead-generation services:

Fees, minimum service terms, guarantees, and cancellation terms are governed by your separate signed Service Agreement with TopRealtor.Pro.

Advertising spend paid directly to Meta and/or Google is separate from, and in addition to, TopRealtor.Pro's management fee, and is the Client's responsibility.

Any third-party technology or integration costs (e.g., CRM integration tools) passed through to a Client will be itemized separately from the management fee.

Any performance guarantee (e.g., a minimum number of qualified leads within a specified period) applies only as expressly defined in the Client's signed Service Agreement and is subject to the conditions stated there (including timely ad account access and cooperation from the Client).

6. Acceptable Use

You agree not to:

Submit false, misleading, or fraudulent information through any form or chat tool

Use the Services for any unlawful purpose

Attempt to interfere with, disrupt, or gain unauthorized access to the Sites, AI assistant, or underlying systems

Scrape, harvest, or extract data from the Sites without our prior written consent

Use the AI assistant to submit abusive, harassing, or harmful content

7. Intellectual Property

All content on the Sites — including text, graphics, logos, the TopRealtor.Pro name and branding, landing page designs, and the AI assistant's underlying prompts and configuration — is owned by or licensed to TopRealtor.Pro and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from this content without our prior written permission, except as necessary for a Client's authorized use of materials created for them under a separate Service Agreement.

8. Third-Party Services and Links

The Services may incorporate or link to third-party platforms, including Meta, Google, and GoHighLevel. We are not responsible for the content, privacy practices, or terms of those third-party platforms. Your use of those platforms is governed by their own terms and policies.

9. Disclaimers

THE SERVICES, INCLUDING THE AI CHAT ASSISTANT AND ANY HOME VALUE ESTIMATES OR MARKET DATA, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI ASSISTANT'S RESPONSES WILL BE ACCURATE, COMPLETE, OR ERROR-FREE. TOPREALTOR.PRO DOES NOT GUARANTEE ANY SPECIFIC BUSINESS RESULT, LEAD VOLUME, OR TRANSACTION OUTCOME EXCEPT AS EXPRESSLY STATED IN A SIGNED SERVICE AGREEMENT WITH A CLIENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPREALTOR.PRO AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless TopRealtor.Pro from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Services.

12. SMS/Text Messaging Consent

By submitting your phone number through a Site or the AI chat assistant, you consent to receive SMS/text messages related to your inquiry, as described in our Privacy Policy. Consent to receive texts is not a condition of any purchase. Message and data rates may apply. Reply STOP to opt out at any time.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [INSERT STATE], without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services shall be resolved in the state or federal courts located in [INSERT COUNTY/STATE], and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms
